Vertex to Acquire Crinetics Pharmaceuticals in USD 10 Billion Deal to Expand Rare Disease Portfolio

Vertex Pharmaceuticals has announced a definitive agreement to acquire Crinetics Pharmaceuticals in an all-cash transaction valued at approximately USD 10 billion. Under the terms of the agreement, Vertex will pay USD 85 per share in cash, representing an equity value of about USD 10 billion (approximately USD 8.8 billion net of acquired cash). The transaction has been unanimously approved by the boards of both companies and is expected to close in the third quarter of 2026, subject to regulatory approvals and customary closing conditions.

The acquisition significantly strengthens Vertex's presence in endocrinology, adding Crinetics' commercial product PALSONIFY® (paltusotine) and its late-stage pipeline. PALSONIFY, approved by the U.S. FDA in 2025, is the first and only once-daily oral therapy for adults with acromegaly, a rare hormonal disorder caused by excess growth hormone. The therapy has shown strong early commercial uptake in the United States and has also received approval in Europe.

Vertex will also gain atumelnant, a Phase 3 oral ACTH receptor antagonist being developed for congenital adrenal hyperplasia (CAH). The investigational therapy has demonstrated the potential to normalize androgen levels while allowing patients to maintain physiologic glucocorticoid levels, addressing a major unmet need in CAH management. Atumelnant is also being evaluated for Cushing's syndrome.

According to Vertex, the acquisition adds a potential USD 5 billion peak annual sales opportunity to its portfolio and establishes endocrinology as the company's fifth major therapeutic area, alongside cystic fibrosis, pain, hematology, and kidney diseases. The company expects the transaction to accelerate long-term revenue growth and strengthen its earnings profile.

The acquisition marks the largest deal in Vertex's history and is one of the biggest biotechnology mergers announced in 2026, reflecting continued momentum in pharmaceutical mergers and acquisitions as companies seek innovative assets to drive future growth.
