Sun Pharmaceutical Industries Ltd. has announced the acquisition of Innovcare Lifesciences Private Limited. The deal, valued at approximately ₹271.2 crore, will give Sun Pharma complete ownership of the Mumbai-based healthcare company.
The acquisition was disclosed by Sun Pharma through a regulatory filing to the stock exchanges on June 20, 2026. According to the company, it has entered into an agreement to acquire 100% of the outstanding shares of Innovcare Lifesciences, which is engaged in the marketing, distribution, and sale of pharmaceutical drugs, nutraceutical products, and cosmeceuticals.
Sun Pharma stated that the acquisition aligns with its long-term growth strategy and is expected to strengthen its existing product portfolio. The company believes that adding Innovcare’s business and product range will enhance its presence in key healthcare segments and support future expansion plans.
Founded on July 21, 2014, Innovcare Lifesciences has steadily expanded its operations over the past decade. The company reported revenue from operations of ₹94.06 crore during FY 2025-26, compared to ₹86.09 crore in FY 2024-25 and ₹80.93 crore in FY 2023-24, reflecting consistent year-on-year growth. Its operations are currently focused on the Indian market.
The transaction will be completed through a cash consideration mechanism, with no share swap involved. Sun Pharma clarified that the acquisition does not qualify as a related-party transaction and that neither the promoter group nor associated entities have any interest in Innovcare Lifesciences.
The company expects the acquisition process to be completed on or before July 31, 2026. No governmental or regulatory approvals are required for the transaction, which is expected to facilitate a smooth and timely closure.
