Marksans Pharma Ltd. has announced the acquisition of 100% share capital of ABCnow GmbH, a Germany-based pharmaceutical wholesale and distribution company, in a strategic move to strengthen its presence across regulated European markets. The company has entered into a definitive agreement to acquire the business as part of its forward integration strategy.
The acquisition will be completed through a cash consideration of €892,384, with the transaction expected to close by July 31, 2026. Marksans stated that no government or regulatory approvals are required for the acquisition.
Headquartered in Flensburg, Germany, ABCnow GmbH specializes in the marketing and distribution of over-the-counter (OTC) pharmaceutical products. The company reported a turnover of €227,233.69 in 2025 and generated €510,215.60 in revenue during 2024.
According to Marksans Pharma, the acquisition will provide direct access to ABCnow's established sales, marketing, and distribution network in Germany. This will enable the company to market pharmaceutical products manufactured in India, the UK, and the USA through its own front-end operations, significantly enhancing its footprint in the European Union.
The company also clarified that the transaction is not a related-party transaction, and neither the promoters nor the promoter group have any interest in ABCnow GmbH. With this acquisition, Marksans aims to strengthen its long-term growth strategy by expanding its direct commercial presence in one of Europe's largest pharmaceutical markets.
